Welcome to Agis.ai! These Terms of Service (“Terms”) govern your use of Agis.ai, our AI-powered chat service, including all associated software, services, and APIs (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By using Agis.ai, you agree to these Terms, as well as our Privacy Policy, which governs how we collect, use, and store your personal information. If you do not agree with these terms, you must stop using the Service immediately.

2. Use of Service

Agis.ai is a platform that provides AI-generated responses based on user inputs. The Service is intended for personal and non-commercial use. You agree not to use the Service for any illegal or unauthorized purposes, or in any way that could violate these Terms or applicable laws.

3. AI-Generated Responses

The Service utilizes AI models (such as, but not limited to, OpenAI GPT, Anthropic Claude, and other third-party AI services) to generate responses based on the data you provide. While we aim to deliver accurate and helpful responses, we make no guarantees regarding the accuracy, completeness, or usefulness of any generated response.

4. User Data and Privacy

• Data Collection and Use: By using the Service, you understand that we collect and store data you input during your interactions with Agis.ai. This data is used to enhance our Service and improve the performance of our AI models.
• Data Privacy: Agis.ai will never sell your personal data to any third party. Data stored on our servers will only ever be used internally to improve our products and services.
• Third-Party Services: Agis.ai may use third-party AI services such as OpenAI and Anthropic to process your data and generate responses. These services are bound by their own privacy policies, and we encourage you to review them.

5. Prohibited Conduct

The Service is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the Service, including but not limited to any warranties of accuracy, reliability, fitness for a particular purpose, or non-infringement.

While we strive to maintain the quality and availability of the Service, we do not guarantee that the Service will be uninterrupted or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, Agis.ai, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising from the use of the Service exceed the amount you have paid us in the past twelve (12) months, if any.

9. Indemnification

You agree to indemnify, defend, and hold harmless Agis.ai, its affiliates, and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Service or violation of these Terms.

10. Termination

Agis.ai reserves the right to suspend or terminate your access to the Service at any time, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service will immediately cease.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice either through the Service or via email. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law

15. Overage Calculation

Each subscription has a limited usage associated with the subscription level.

Each subscription has a limit for usage.  Our overage charges are meant to cover you when you go over your allotted usage.  You will receive a message when you are nearing your allotted usage each month.  If you have several months that extend beyond your current usage limit, you can always adjust your subscription, which will save you money in the long run.

• Overages on chat messages per month.  We charge a standard rate (0.025) per message over your allotment of chat messages.

• Overage on Audio per month.  We charge a standard rate (0.425) per minute over your allotment of audio replies. 

16. Entire Agreement

These Terms constitute the entire agreement between you and Agis.ai concerning the use of the Service and supersede any prior agreements or understandings regarding the subject matter.
